1. Acceptance of these Terms

These Terms of Use and Disclaimer (the “Terms”) govern your use of oohudsonvalley.com and any related pages, forms and materials (the “Site”). The Site is owned by Nolan Reynolds International and/or its affiliates (“NRI”) and is operated by PowerPlay Destination Properties New York Inc. (“PowerPlay”) on NRI’s behalf. In these Terms, “we,” “us” and “our” refer to NRI and PowerPlay collectively, except where a provision expressly applies to a particular entity. The Site provides information about the One&Only Hudson Valley Private Homes (the “Private Homes”) and the surrounding resort (together, the “Project”).

PLEASE READ THE FOLLOWING CAREFULLY. THESE TERMS ARE A BINDING LEGAL AGREEMENT THAT GOVERNS YOUR USE OF THIS SITE. BY USING THIS SITE OR SUBMITTING ANY FORM ON IT, YOU AGREE TO THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SITE.

We may update these Terms at any time by posting a revised version on this page and suggest that you check these Terms periodically for changes to ensure that you are familiar with the most recent version. Your continued use of the Site after a change means you accept the revised Terms. You agree that notice of changes to these Terms of Use posted on the Site constitutes reasonable and sufficient notice. At all times, you are bound by the then-current version of these Terms of Use and all applicable laws.

The Site is intended for adults aged 18 or older. By using the Site, you represent that you are at least 18 years old.

2. Information only; not an offer

The Site is for general information only. Nothing on the Site is an offer to sell, or a solicitation of an offer to buy, any Private Home or other property. No offer can be made or accepted, and no reservation or deposit can be taken, except through the applicable purchase documents and in compliance with the laws of the jurisdiction where the buyer resides.

This is not an offer in any jurisdiction where the Project has not been registered or qualified, or where such an offer would be unlawful. Where the law requires, materials will be provided only after applicable registration or filing requirements are met.

Any binding agreement about the Project or a Private Home must be in writing and signed by the applicable parties. If anything on the Site conflicts with the purchase agreement or other governing documents, those documents control.

3. Project under development

The Project is in pre-construction and under development. Everything shown on the Site reflects current plans, which may change.

Renderings, photographs, illustrations, site plans, floor plans, maps, videos and virtual tours are artist’s conceptions or representative examples. They may show furnishings, landscaping, views, finishes or amenities that are not included or will not be built as shown. Photographs may depict other One&Only properties or locations that are not part of the Project.

Dimensions, square footages, acreage, distances and travel times are approximate. Features, specifications, amenities, materials, unit mix, pricing, availability, timelines and completion dates may change without notice, or may be withdrawn. No completion or delivery date is guaranteed. Buyers should verify all information by inspection and review of the purchase documents before purchasing.

4. Rental program

The terms of the rental program are set out only in a separate rental management agreement and the Project’s purchase documents, where applicable.

Nothing on the Site is a promise, projection or guarantee of rental income, occupancy, return on investment, tax benefit or appreciation in value. Rental results depend on many factors outside our control, including market conditions, rates, seasonality, operating costs, fees and applicable law. Rental programs, their operators and their terms may change or be discontinued.

The Private Homes are offered as real estate for personal use and enjoyment, not as investments. Nothing on the Site is an offer of securities or investment, legal, tax or financial advice. Consult your own advisers before making any decision.

5. Use and occupancy restrictions

Use and occupancy of the Private Homes are subject to local zoning, land use approvals, the community declaration, bylaws, rules and regulations, and any applicable rental program agreement. Under local zoning, (i) no Private Home shall be occupied as a “primary residence” by the Private Home owner, (ii) all Private Homes shall be taxable as part of the Project, and (iii) all Private Homes shall be placed in the rental management program offered at the Project for rental on a daily or longer basis.

References on the Site to lifestyle, seasonal use, length of stay or residency are descriptive only. They do not expand any permitted use.

6. Brand, trademark and partner disclaimers

One&Only and related names and logos are trademarks of [Kerzner International Limited or its affiliates]¹ and are used under license. The One&Only Private Homes are not owned, developed or sold by Kerzner International Limited or its affiliates.

The Site may refer to third-party partners, operators and amenity providers. Their names and marks belong to their owners. A reference does not mean that a partner sponsors, endorses or guarantees the Project, or is responsible for any statement on the Site. Partner programs, services and relationships may change or end, and may require separate agreements, fees or memberships.

Access to resort facilities, services and amenities is governed by the applicable governing documents and operator policies. It is not guaranteed by any statement on the Site.

7. Intellectual property and permitted use

All content on the Site is owned by NRI, its affiliates or its licensors and is protected by copyright, trademark, database, and other laws. This includes text, photographs, renderings, plans, videos, audio graphics, logos and design. Third-party names and logos on the Site are the marks of their respective owners and may not be used without their prior written permission. All rights are reserved.

We grant you a limited, personal, revocable, non-exclusive, non-transferable and non-sublicensable license to view and print Site content for your personal, non-commercial use in evaluating the Project, subject to your continued compliance with these Terms. You may not copy, reproduce, store, modify, distribute, publish, incorporate into any other work or site, or create derivative works from any content without our prior written permission. You also agree not to:

• use bots, scrapers or other automated means to access or collect content or data from the Site, provided that operators of public search engines may use spiders to copy materials from the Site for the sole purpose of (and solely to the extent necessary for) creating publicly available, searchable indices of such materials, but not caches or archives of such materials;

• interfere with the Site’s security or operation, or attempt to gain unauthorized access;

• submit false, misleading or third-party information through any form;

• use any content in a way that suggests that NRI, PowerPlay, One&Only or any brand or amenity partner endorses or is associated with any person, product or service without our prior written consent;

• remove or alter any copyright, trademark, or other proprietary notices on the Site or its content;

• collect information about other users of the Site, or systematically extract content or data from the Site to populate databases or other sites; or

• use the Site for any unlawful purpose or in violation of these Terms.

We may suspend or end your access to all or part of the Site at any time and for any reason. If we do, you must stop using the Site and destroy any content you have downloaded or printed.

8. Information you provide and how we share it

When you submit an inquiry, register for updates, request materials or contact us, you agree that the information you provide is accurate. Personal information is handled as described in our Privacy Policy, which forms part of these Terms.

You agree that NRI and PowerPlay may share the information you provide, and information collected through your use of the Site, with their affiliates, partners and subcontractors. These include the Project’s sales and marketing agents, the licensed broker, brand and amenity partners, and service providers that host, operate or support the Site and our communications. They may use it to respond to your inquiry, provide information about the Project and related or other offerings, administer the sales process, and operate and improve the Site, in each case as described in our Privacy Policy.

You may opt out of any marketing communications at any time by clicking the unsubscribe link or emailing us at [email protected].

By providing your contact details, you agree that NRI and its sales representatives may contact you by email, phone or mail about the Project.

We use cookies and similar technologies as described in our Privacy Policy / Cookie Notice. No method of transmission or storage is completely secure, and we cannot guarantee the security of information you send through the Site.

9. Third-party links, warranties and liability

Third-party content. The Site may link to or embed third-party websites, maps, social media and tools. We do not control or review them and are not responsible for their content, availability, products, services, or privacy practices.

NO WARRANTIES. YOU USE THE SITE AND THE INTERNET AT YOUR OWN RISK. THE SITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ACCURACY, COMPLETENESS, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE OR FREE OF VIRUSES.

LIMITATION OF LIABILITY. TO THE FULLEST EXTENT PERMITTED BY LAW, NRI, POWERPLAY, THEIR AFFILIATES, PARTNERS, LICENSORS, AND BROKERS AND THEIR RESPECTIVE OFFICERS, EMPLOYEES AND AGENTS WILL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY OR PUNITIVE DAMAGES OR LOST PROFITS ARISING FROM YOUR USE OF, OR RELIANCE ON, THE SITE OR ITS CONTENT. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW, INCLUDING FOR GROSS NEGLIGENCE OR WILLFUL MISCONDUCT.

Indemnity. To the extent permitted by applicable law, you agree to indemnify and hold harmless NRI, PowerPlay, and their affiliates from third-party claims, losses, and expenses (including reasonable attorneys’ fees) arising from your unlawful use of the Site, infringement of a third party’s rights, or breach of these Terms. This indemnity does not apply to the extent a claim or loss is caused by the negligence or willful misconduct of an indemnified party.

10. General

Fair housing. We are pledged to the letter and spirit of U.S. policy for achieving equal housing opportunity throughout the nation. We comply with the federal Fair Housing Act and the New York State and applicable local human rights laws. Equal Housing Opportunity.

Governing law. These Terms are governed by the laws of the State of New York, without regard to conflict-of-law rules. Any dispute will be brought exclusively in the state or federal courts located in Dutchess County, New York.

Severability and waiver. If any provision is found unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver of it or of any other provision. If these Terms are translated, the English version controls.

Entire agreement; Interpretation. These Terms and our Privacy Policy are the entire agreement between you and us about your use of the Site. They do not replace or amend any purchase agreement, rental management agreement or other governing documents, which remain separate and control their subject matter. “Including” means “including without limitation.” Section headings are for convenience only. You agree that we may communicate with you, and that you may accept these Terms, electronically.

Neither NRI, nor any member of its group, nor the Representatives, nor any member of their respective groups represent that the Information is accurate, comprehensive, verified or complete, and shall accept no liability for the accuracy or completeness of the Information or for any reliance placed by any person on the Information. Except as expressly set out in a signed purchase agreement, no representations, warranties or undertakings are given in relation to the Private Homes.
